Alaska Supreme Court
Donald W. Zoerb, Jr., Appellant/cross-Appellee v. Chugach Electric Association, Inc., an Alaska Electric…
September 21, 19901990 Alas. LEXIS 108
Summary
The court affirmed judgment for Chugach Electric Association on Zoerb's claims arising from his termination. It held that Zoerb, as an employee rather than a cooperative member, lacked standing to enforce the electric cooperative open-meeting statute; upheld exclusion of evidence concerning alleged corruption as within the trial court's discretion; and concluded that the jury instruction correctly permitted termination for a good-faith restructuring based on legitimate economic concerns. The court also held that any error in submitting punitive damages to the jury was harmless because the jury found for Chugach.
Holding
- Standing to enforce the open-meeting statute. Zoerb lacked standing to enforce the open-meeting protections because the statute grants the right to attend cooperative board meetings to members, and Zoerb was only an employee of Chugach. Because he had no statutory right protected by the provision, he had no legally cognizable interest or injury supporting standing.
- Exclusion of testimony concerning alleged corruption. The trial court properly excluded testimony about alleged corruption at Chugach because, even assuming the testimony qualified as a party admission, its prejudicial impact could outweigh its probative value, and the record did not leave the appellate court with a definite and firm conviction that the exclusion was erroneous.
- Meaning of good cause under the employment contract. The jury instruction adequately explained that good cause requires a fair and honest reason exercised in good faith and that a reduction in force based on legitimate and sufficient business reasons may constitute good cause, while an asserted economic justification cannot be a pretext for an otherwise wrongful discharge.
- Punitive-damages cross-appeal. Any error in submitting the punitive-damages issue to the jury was harmless because the jury found in favor of Chugach and therefore never reached the punitive-damages claim.
