The Second Circuit partially reversed the Southern District of New York's Rule 12(b)(6) dismissal of common-law fraud claims brought by IKB-affiliated Jersey investment vehicles against Wachovia subsidiaries and their collateral manager over three defaulted CDOs.
The Second Circuit held that the district court lacked ancillary jurisdiction to enforce the parties’ settlement because its dismissal order neither retained jurisdiction nor incorporated the settlement terms, and its later approval of the agreement could not cure that failure.
