Summary

The Court held that Ingham, Jackson, and Calhoun Counties had no contractual right to receive surplus-equity distributions from a self-insurance pool after their county road commissions were dissolved or withdrew. The governing documents allowed the Pool to treat former members less favorably, and Jackson County's dissolution did not transfer Pool membership to the county. The Court also held that excluding the Counties from surplus distributions did not violate Michigan public policy, and remanded for consideration of the Counties' remaining claims.
