Summary
After a four-day bench trial, the court ruled that GIUL failed to prove violations of the Massachusetts Uniform Securities Act or the Massachusetts Consumer Protection Act. The court found that GIUL understood its investment repayment was contingent on GTI obtaining at least $1 million in additional financing, that no material information was withheld, and that the later exchange of Shenghuo’s loan to GTI for GTI equity was a reasonable business decision. Final judgment ordered that GIUL take nothing on its claims.
