The court held that the City's agreement to acquire and improve the speedway through STAR-bond financing involved governmental policy-making rather than a proprietary administrative undertaking. Because a municipal governing body cannot bind a successor to governmental policy decisions, the City was not liable for abandoning the agreement, and dismissal of the breach claims was proper.
