Summary
The Court affirmed denial of Sunder’s preliminary-injunction motion, holding that the Court of Chancery acted within its discretion in refusing to rewrite facially overbroad restrictive covenants and correctly applied Utah law to the tortious-interference claim. The Court also held that Jackson’s fiduciary-duty defense was properly considered, but reversed to the extent the Court of Chancery conclusively determined at the preliminary-injunction stage that the operating agreement was unenforceable as a matter of law.
