It upheld the contempt finding and sanctions against TransPerfect for filing a related action outside the Court of Chancery, but vacated the contempt finding and personal sanctions against Shawe because the trial court did not make individualized findings that he personally caused the violation. The Court also upheld the custodian's discharge order and the award of fees and expenses, subject to TransPerfect being the only party liable for the contempt sanction.
