Summary

The court held that the defendants' appeals were taken from a nonfinal judgment because the plaintiff's fiduciary-duty claims remained unresolved. Connecticut procedural law governed the final-judgment inquiry, while Delaware law governed whether the contract and fiduciary-duty claims were legally consistent; under that analysis, the claims were alternative theories that did not make one another mutually exclusive. The court therefore vacated the Appellate Court's judgment and directed dismissal of the defendants' appeals for lack of subject matter jurisdiction.
