The court held that Silvestri was not personally liable for breach of the construction contract or implied warranty because he signed the agreement only as an agent for Joseph General and the evidence did not establish a later agreement, meeting of the minds, or consideration making him a party. It further held that a corporate officer may be individually liable under CUTPA when he directly participates in, controls, and knowingly or recklessly engages in unfair or deceptive conduct on behalf of a business entity. The judgment was therefore affirmed as to CUTPA liability and reversed as to Silvestri’s individual contract and implied-warranty liability.
