Summary
Justice Vertefeuille, joined by Justices Palmer and Robinson, dissented from affirmance of summary judgment for the plaintiff. The dissent would hold that the buyout agreement's contingency clause is reasonably susceptible to two interpretations: one triggered by execution of a purchase agreement creating an equitable interest and another triggered only by transfer of legal title at closing. Because the clause is ambiguous, the dissent would require a trial on the parties' intent. Justice Vertefeuille, dissenting, would have reversed the summary judgment and remanded for trial.
