The court held that Scott Porter had standing to enforce the backstop guarantee because he alleged a direct financial injury and no valid assignment of his contractual rights to Iboport was shown. The plaintiff's tax treatment of his payment as a loss and capital contribution did not, without more, objectively manifest an intent to assign the guarantee agreement. The court therefore affirmed the Appellate Court's judgment.
