Summary

The court held that CSU's statutory authority to suspend operations during a pandemic was incorporated into the parties' implied-in-fact contract, making the contract enforceable even though Alderman could not establish a breach. Because the enforceable contract covered the same subject matter as Alderman's unjust enrichment claims and had not failed, been rescinded, or been abrogated, those claims were barred as a matter of law. The court reversed the court of appeals' judgment reinstating the unjust enrichment claims and remanded with directions to reinstate the district court's judgment for CSU.
