Summary
The court held that a contingent-fee case pending when a law-firm LLC dissolves remains business of the LLC, and profits from that case must be distributed under the members' existing profit-sharing agreement. It further held that, absent an agreement providing otherwise, the LLC Act does not entitle a member who winds up the business to additional compensation for post-dissolution services. The court therefore affirmed the court of appeals. Justice HOBBS delivered the opinion for a unanimous court, and no separate opinions were recorded.
